About these terms

These terms apply when you install or use SKU Manager or SKU Stock Sync, Shopify apps made by me, Taj Bowness, trading as Fontaine Software (ABN 60 152 071 082). By installing one of the apps, you agree to these terms for the store you install it on. If you don't agree, please don't install the app, or uninstall it. How I handle your information is covered separately in my Privacy Policy, at fontainesoftware.com/privacy.

Using the apps

You need a Shopify store to use the apps, and your use of them also has to follow Shopify's own terms. The apps change inventory and product data in your store based on how you set them up. You're responsible for that setup, such as which SKUs and locations are linked, and for checking that the results are what you intended. You agree not to:

  • Copy, modify or reverse engineer the apps

  • Use the apps to break the law or Shopify's terms

  • Interfere with the apps, or with how they work for other stores

  • Resell the apps or access to them

Plans and billing

Some plans are free. For paid plans:

  • Every charge is billed by Shopify, in US dollars, and appears on your Shopify bill.

  • Paid plans renew automatically every 30 days until you cancel. There's no fixed or minimum term.

  • Each plan's price is shown in the app and on its Shopify App Store listing, and you approve it in Shopify before you're charged.

  • I can't increase what you pay for a plan without you approving the change in Shopify.

  • If you change plans, Shopify shows when the change takes effect before you approve it.

Usage charges in SKU Stock Sync

SKU Stock Sync plans include a number of group syncs in each 30-day billing cycle. A group sync is one SKU updated at one location, counted once however many variants share that SKU, and a sync that changes nothing costs nothing.

  • Group syncs past your plan's included amount are charged at your plan's rate, up to the spending cap you approve in Shopify.

  • Usage charges are added to your Shopify bill daily.

  • When a cycle reaches your spending cap, syncing pauses until the next cycle starts or you raise your cap.

  • A sync already under way when the cap is reached finishes, and any group syncs it makes past your cap are free. Usage past your cap is never charged, in that cycle or a later one.

Free trials

Where an app offers a free trial, its length and allowance are shown in the app. When a trial ends, the features it covers pause until you choose a plan. I may extend or reset a trial at my discretion.

Cancelling

You can cancel at any time by uninstalling the app from your Shopify admin, or by moving to a free plan where the app has one. There's no notice period and no cancellation fee, and no further charges are made after you cancel. What happens to your store's data after you uninstall is covered in my Privacy Policy.

Refunds

Charges aren't refundable as of right. I may refund all or part of a charge at my discretion, for example when an app didn't work as described, and refunds are made through Shopify. Nothing in these terms limits a refund or remedy you're entitled to under the Australian Consumer Law.

Your data

You keep ownership of your store's data. You allow me to access and use it only as far as needed to run the apps for you, as described in my Privacy Policy.

Availability and changes

I work to keep the apps running and accurate, but I can't promise they'll be uninterrupted or free of errors. They depend on Shopify and on other services outside my control. I may change, add or remove features. If I ever discontinue an app, I'll give you at least 30 days' notice where I can.

Warranties

To the extent the law allows, the apps are provided as they are, without promises beyond those in these terms. Nothing in these terms excludes, restricts or changes any guarantee, right or remedy you have under the Australian Consumer Law, or any other law, that can't be excluded.

Limitation of liability

These limits apply to the extent the law allows.

  • I'm not liable for indirect or consequential loss, or for lost profits, sales, revenue or data, including loss caused by overselling or by incorrect stock levels.

  • My total liability for all claims relating to the apps is limited to the fees you paid me for the apps in the 12 months before the claim arose.

  • Where the Australian Consumer Law lets my liability be limited but not excluded, it's limited to supplying the services again or paying the cost of having them supplied again.

Suspending or ending access

I may suspend or end your access to an app if you break these terms, misuse the app or don't pay its charges, or if Shopify removes the app or your store. Where it's reasonable to, I'll let you know first.

Changes to these terms

I may update these terms, and the date at the top shows when they last changed. If a change materially affects you, I'll tell you in the app or by email before it takes effect. Using the apps after that means you accept the updated terms.

Governing law

These terms are governed by the laws of New South Wales, Australia, and you and I submit to the non-exclusive jurisdiction of its courts.
